Plain English: helloMachine provides AI‑assisted /llms.txt generation, monitoring subscriptions, and consulting. You own your brand content; we own our software. AI isn’t perfect—review outputs before publishing.
1) Parties & Scope
These Terms govern use of helloMachine’s website and services (“Services”). helloMachine is a service of Wakai Corporation (>helloMachine) (“Wakai”). By using the Services, you agree to these Terms and our Privacy Policy. If you use the Services on behalf of a company, you represent authority to bind that company. Business use only.
2) Services
- llms.txt Generator: We analyze the public site you submit and produce a proposed
/llms.txt(and optionally/llms-full.txt). We provide a hosted link and download; you review and deploy. - Subscriptions: Ongoing monitoring/optimization (monthly or prepaid yearly) as described on the site; features may evolve.
- Consulting: One‑time projects (audits, competitor briefs, sales‑optimized LLM.txt) per the posted scope or statement of work.
3) Orders, Pricing, & Payments
- Payments are processed by Stripe; we don’t store full card numbers.
- Prices are USD and may change prospectively.
- Subscriptions auto‑renew until canceled. Cancel before the next term to avoid future charges; partial periods aren’t refunded.
- You’re responsible for applicable taxes.
4) Refunds
- Generator: If we fail to deliver a usable file to the provided email, contact us within 7 days— we’ll fix or refund.
- Subscriptions/Consulting: Non‑refundable once the period/work begins, except where we can’t deliver due to our fault.
5) Your Content, Deliverables, & Our IP
- Your Content: You retain all rights to the materials you provide; you grant us a limited license to process them solely to deliver the Services.
- Deliverables: Upon payment, you receive a perpetual, worldwide, non‑exclusive license to use the generated
llms.txtfiles for your business. - Our IP: We retain rights in our software, models, prompts, workflows, and templates.
6) Acceptable Use
- No unlawful, infringing, deceptive, or harmful instructions to AI systems.
- No unauthorized scraping, reverse engineering, or stress testing of our services.
- Outputs aren’t legal, medical, financial, or compliance advice.
7) AI & Accuracy Disclaimers
Outputs may be incomplete or incorrect and require human review. We can’t guarantee any AI platform will read or honor your llms.txt, and model behavior can change without notice.
8) Confidentiality
Non‑public materials you share are treated as confidential and used only to provide the Services, except where disclosure is legally required. For regulated/enterprise use, a DPA and additional security terms are available on request.
9) Third‑Party Services
We use vendors (e.g., Stripe, hosting, email) to operate the Services. Your use of those services may be subject to their terms.
10) Copyright & DMCA
If you believe content we host infringes your copyright, send a notice to our DMCA Agent (see Contact) with: (a) your signature; (b) identification of the work and infringing material; (c) contact info; (d) a good‑faith statement; and (e) a statement under penalty of perjury that you’re authorized. We may remove content and, where appropriate, terminate repeat infringers.
11) Warranties & Disclaimers
THE SERVICES AND DELIVERABLES ARE PROVIDED “AS IS.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
12) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE/DATA. OUR TOTAL LIABILITY IN THE AGGREGATE IS LIMITED TO THE AMOUNTS YOU PAID IN THE 6 MONTHS PRECEDING THE CLAIM.
13) Indemnification
You’ll defend and indemnify Wakai (and its affiliates) from claims arising out of your use of the Services or deployment of outputs, except to the extent caused by our willful misconduct.
14) Suspension & Termination
We may suspend or terminate for material breach or misuse. You may stop using the Services at any time. Sections that should survive (IP, confidentiality, disclaimers, limitations, indemnity) survive termination.
15) Governing Law & Venue
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflicts principles. Exclusive venue: state or federal courts located in Wyoming.
16) Changes
We may update these Terms. We’ll update the date above and, for material changes, provide reasonable notice.
